Unless otherwise delineated in a mutually agreed written contract, the following terms will apply to work done by Software North LLC:

Early Payment:

Payments received within ten days of the invoice date may be discounted one percent.

Late Payments:

A 1.5% per month service fee will be charged on any unpaid balance not received within 30 days after the initial invoice date.

Minimum Billing:

Two hours per call inside the Anchorage bowl. Inside Anchorage bowl billing will include travel time for projects less than one full day. Outside Anchorage bowl billing will be for actual time including roundtrip travel and rates will be $5 per hour higher than those listed. Work days which neither begin nor end in Anchorage will be billed at a minimum of ten (10) hours per day. Extended periods outside Anchorage will be billed at negotiated rates.

Telephone Consultation:

Assistance provided by phone will be at $15 per 1/10 hour increment. The two hour minimum will not apply to telephone assistance.

Billing:

Monthly billings will run through Sunday of the last week within the calendar month.

Overtime Rate:

Same as standard rate.

Expense Reimbursement:

All reimbursable expenses will be billed at cost plus 2% unless prior arrangements are made. Services requiring extended stays outside Anchorage bowl require one roundtrip coach air fare to Anchorage each week. In addition to the normal travel to and from a job, a per-diem rate may be quoted for extended stays at field locations.

Insurance and Liability:

Client agrees that Software North's (SN) liability for acts and commissions which result in damages to Client's property, shall be limited to actual and not consequential damages and in no event shall exceed the funding limitations, if any, of the related work order or the limits of SN's applicable insurance coverage, whichever is greater; however, in the event of damage to property of Client by SN, SN may elect to redo the work that caused Client's property damage at no extra cost to the Client. Client agrees that SN will not be liable for any loss of profits or any claim or demand against Client by any other party except a claim for patent or copyright infringements. No action, regardless of form, arising out of the transactions under this Agreement may be brought by either party more than one (1) year after the cause of action has occurred except that an action for non-payment for services as provided herein be brought within two(2) years after the date of last payment or date of last service performed, whichever shall occur later.
